Kerman & Co advises Minds + Machines Group Limited on its Readmission to AIM as an Operating Company

Kerman & Co advised its long-standing client, Minds + Machines Group Limited (formerly, Top Level Domain Holdings Limited) (“M+M”), on its change from an investing company to an operating company with a material trading activity. The change to an operating company with a material trading activity is classified as a reverse takeover under the AIM Rules for Companies and M+M was, therefore, required to publish an admission document and seek readmission to the AIM market of the London Stock Exchange plc. As part of this transaction, M+M changed its name from Top Level Domain Holdings Limited to Minds + Machines Group Limited and was readmitted to AIM on 21 March 2014.

M+M is a full-service domain name company focused on the new top-level domain space operated and regulated by the Internet Corporation for Assigned Names and Numbers (“ICANN”). Top-level domains, such as .com and .net are regulated by ICANN and it is currently expanding the number of new generic top-level domains from the current 23 to over 1000 through its ‘new gTLD program’. M+M is one of the leading applicants for new gTLDs under this programme.

M+M also provides registry operations through its wholly owned registry services provider, Minds + Machines LLC (US), which works internationally with commercial organisations, cities, not-for-profits and entrepreneurs to secure and operate new top-level domains (TLDs). In addition, M+M wholly owns Minds + Machines Registrar Limited (Ireland) and Minds and Machines Registrar UK Limited, both being registrar businesses through which the public can buy addresses in new and existing top-level domains.
