Court convened scheme meetings in the time of COVID-19

Kerman & Co’s Capital Markets and Dispute Resolution teams recently acted for Columbus Energy Resources PLC (“Columbus”) in connection with a merger implemented by a transfer scheme of arrangement (the “Scheme”) under Part 26 of the Companies Act 2006 (click here to read more).

The holding of Court convened meetings during the current pandemic has been complicated by Government restrictions and guidance on social contact and public gatherings.   In sanctioning the Scheme, Trower J provided guidance on the application of the Corporate Insolvency and Governance Act 2020 (CIGA 2020) to Court convened meetings of members under Part 26.
